"What is it like when you are a Joseph Stilwell wannabe?

Kevin Padrick at Obsidian Finance hitched a ride with Joseph Stilwell and his group of proxy prize fighters lat in 2000 against a small, unsuspecting, bank in Baker, OR. Oregon Trail Financial Corp, known commercially as Pioneer Bank, was blindsided by Joseph Stilwell. Stilwell blew in and stated that “management was not maximizing shareholder value and proposed that Oregon Trail voluntarily place its nominees on the board of directors”. One of those nominees would be Kevin Padrick. Kevin Padrick seems to sneak himself in places where he sees DOLLAR SIGNS like the very cash rich Summit 1031 bankruptcy – $13.6 Million in cash, $10 Million Bond, $3 Million in E&O, approx $11.8 Million in real property and business assets. See all the DOLLAR SIGNS. It is my opinion Kevin Padrick start drooling when he sees he can get his hands on other people’s money. Anyway….
Oregon Trail rejected the proposal and the fight was on. And did it ever get nasty!! Stilwell announced its intention to solicit proxies to elect an alternate nominee. They needed someone from Oregon (residency requirements for all board members). All he needed was the shareholder list but Oregon Trail said “NO WAY!” Stilwell sued and convinced the court to make Oregon Trail turn its shareholder listing over plus pay for $10,000 of Stilwell’s legal expenses. What the heck? Is this a case of Pit Bull Magic?
The Stilwell group also filed lawsuits against two of the Oregon Trail directors – Chuck Rouse and Ed Elms. The charges: ONE was charged with violating the Oregon Trail’s residency requirements which the OTHER was charged with perjury based on his testimony in the first lawsuit. BOTH CASES WERE DISMISSED pretrial but legal defense of the directors cost the bank $200K. But never say die, Stilwell filed an appeal on one suit and re-filed the other suit in state court. Elms and Rouse sued back. Both sides requested injunctive relief from the courts.
US Magistrate Judge John Jelderks denied both requests. However, he stated that Oregon Trail would probably succeed on its claim at trial (violation of the anit-fraud proxy regulation). He also said that there was a strong possibility that the allegations against Rouse and Elms were not well founded. And finally, that there was a strong probability that Oregon Trail could show Stilwell’s conduct was part of a calculated attack upon the integrity of the incumbent directors and management. Whew…sounds like dirty pool, but that doesn’t stop a guy like Stilwell or his study – Kevin Padrick.
Stilwell used proxies to force the election of Kevin Padrick to the Oregon Trail board. This seems to be Kevin Padrick’s style – Go around and force whatever you want on unsuspecting victims. Why did Kevin Padrick play along with this attack on Oregon Trail? Stilwell gave Padrick 20,000 shares of stock options for his willingness to run for a seat on the board. Ahhh – there had to be DOLLAR SIGNS somewhere.
Per the La Grande Observer, Padrick said he intended to ask probing questions during board meetings, but said he wasn’t elected to the board to shake things up. Seems to me the words coming out of Padrick’s mouth never match his actions. Wonder what he told the Summit 1031 Creditors’ Committee. Do his actions in the case, match what he told them? Don’t know yet, but will sure find out.
So Kevin Padrick packed his lunchbox and flew to each Board meeting for the next 16 months. By March 12, 2002, Stilwell entered into a standstill agreement with Oregon Trail. Among other things, Oregon Trail agreed to drop all lawsuits and Stilwell even got Oregon Trail to pay for his expenses incurred in the proxy fight. Where do these guys learn this stuff? They teach this at law school? There was also an agreement to keep one Board position filled with a Stilwell “lieutenant” for 5 Years.
On statements filed with the SEC, Stilwell’s goal in these proxy fights is always “to profit from the appreciation in the market price of the shares of Common Stock and through the payments of dividends by asserting shareholder rights“. Seems to me that Stilwell’s goal was to force a sale of the bank from the beginning because that is exactly what happened. In February 2003, Oregon Trail announced the sale of the bank to FirstBank NW Corporation of Lewiston, Idaho. The sale price was $22/share and it was completed by November 2003.
Padrick took his share of the sale soon after the announcement. Per Kevin Padrick’s filing with the SEC, his option price was $14.05/share. He exercised his options on 3/10/03 and immediately sold them for $23.05/share. So he netted $180,000 in a little over a year. Not too bad for experience building!
Kevin Padrick could just hang onto Stilwell’s coattails and make a wad of money!! But that wasn’t to be.
A review of SEC filings indicate that Stilwell pretty much dumped Padrick for his future proxy contests. He nearly pulled him in on the Board of American Physicians Capital, Inc. in 2002, but that never happened. All in all, it appears that Stilwell triggered proxy squabbles in 16 other publicly traded companies, but left Kevin Padrick in the dust.
Since Kevin Padrick could not ride that gravy train, he tried to do his own profit ventures. You saw what happened with Longview Fibre in 2006. Padrick and Obsidian Finance weren’t quite able to seal that deal, but what the heck – it was their first try. Give them a chance, they were on a learning curve.
Luckily, Kevin Padrick ran into the naive and trusting Summit principals in late 2008. They needed help. They were told Kevin Padrick and Obsidian Finance could help. Yeah, Kevin Padrick and Obsidian Finance helped shove them off a cliff! They sold themselves to the Summit Principals, they took their money, they took their priviledge information, they went to the other side with that money and they got themselves a more lucrative job. They also know there is no Ponzi Scheme and No Embezzlement, but that won’t stop them from using the Media to make a play for it. It won’t be an $850 Million they looked to get from the flip ofthe Longview Fibre shares, but the Summit 1031 deal is easy pickings. The money is just sitting there and there doesn’t appear to be anyone at the wheel for the Creditors!!!
With now one watching out for the 1031 exchangers, what do you think Kevin Padrick & Obsidian Finance will do? I think there may have been some dealing and wheeling on this case too. In Obsidian’s billings detail, I found early conversations with Steve Hedburg of Perkins Coie. I wonder what was said at these meetings. Who knows, but shortly after Perkins Coie was pushing to replace Terry Vance CRO (person in charge of liquidating) with Kevin Padrick. Sounds familiar doesn’t it?

The Nader campaign calls for the decriminalization of marijuana, the legalization of industrial hemp, and an end to the war on drugs.

Medical marijuana: The criminal prosecution of patients for medical marijuana must end immediately, and marijuana must be treated as a medicine for the seriously ill.

The current cruel, unjust policy perpetuated and enforced by the Bush Administration prevents Americans who suffer from debilitating illnesses from experiencing the relief of medicinal cannabis.

While substantial scientific and anecdotal evidence exists to validate marijuana’s usefulness in treating disease, a deluge of rhetoric from Washington claims that marijuana has no medicinal value.

The Controlled Substances Act of 1970 defines marijuana as a Schedule One narcotic, making it very difficult for American researchers to perform rigorous double-blind scientific studies on marijuana. In August 2003 the esteemed British medical journal The Lancet reported that the world’s largest study into the medical effects of cannabis have confirmed that the drug can reduce pain and improve the lives of people with multiple sclerosis. The three-year study was the first proper clinical appraisal of whether cannabis-derived drugs can help treat MS.

Harvard medical doctor Lester Grinspoon has said he would have loved to do a similar study, but has been held back by the law. On his website, www.rxmarijuana.com, and in his book The Forbidden Medicine, Grinspoon documents how marijuana relieves the pain of people enduring more than 110 different medical conditions like AIDS, Crohn’s Disease, glaucoma, cancer, and many more. Marijuana helps increase appetite, reduce blood pressure and intraocular pressure.

Whenever given the chance, the American public has voted to allow seriously ill people to relieve their pain with marijuana. Despite well-funded opposition from the federal government, citizens in nine states have cast ballots to legalize the use of medicinal marijuana. No state has ever rejected such a voter initiative.

Medical marijuana community health centers have opened up in the states, like California, only to be aggressively attacked and closed by federal law enforcement agents.

Physicians must have the right to prescribe this drug to their patients without the fear of the federal government revoking their licenses, and doctor-patient privacy must be protected. The Drug Enforcement Administration should not be practicing medicine.

Industrial hemp: The Nader campaign supports industrial hemp as a renewable resource with many important fuel, fiber, food, paper, energy and other uses. Industrial hemp is a commercial crop grown for its seed and fiber and the products made from them such as oil, seed cake, and hurds (stalk cores).

Industrial hemp is one of the longest and strongest fibers in the plant kingdom, and it has had thousands of uses over the centuries. In need of alternative crops and aware of the growing market for industrial hemp—particularly for bio-composite products such as automobile parts, farmers in the United States are forced to watch from the sidelines while Canadian, French and Chinese farmers grow the crop and American manufacturers import it from them. Federal legislators, meanwhile, continue to ignore the issue of removing it from the DEA list. It is time to allow hemp agriculture, production and manufacturing in the United States.

Clemency for Non-Violent Drug Offenders: In 2004, Ralph Nader wrote President Bush urging that he grant clemency to 30,000 non-violent drug offenders. Nader’s letter highlighted the three decade long failed, and unjust, drug war. Nader’s letter recalled President Bush’s substance abuse problems and noted that if he had been incarcerated for cocaine use he "probably would not have gone on to have the career you have had.”

"It is urgent that the U.S. reverse the incarceration binge. The Bible teaches that the congregation is accountable to the elders (pastors) and that the elders (pastors) are accountable to God. Therefore, all decision-making authority is vested in the elders (pastors), who shepherd the church (6)"

Below is the Letter to the Editor from Sean Boushie, in the Daily Interlake, Kalispell Montana, Sunday 7-19-2009. investigating these queries change the course of
the presidential campaign and the outcome of the election and

1.    These queries are based on research on the Federal

bankruptcy fraud scheme(fn.83)?(62§2)

    e.    a presidential campaign with fiercely antagonistic candidates, voters’
heightened attention, and journalists’ intensified pursuit of a scoop
deserving of a Pulitzer Prize: Can this lead to a Watergate-like(126§a)
generalized unstoppable media investigation(101§§1-5) guided by a
historic question that caused President Nixon to resign, his White House
aides to go to prison, and iconic journalistic figures to emerge(jur:2
para.4-8), and that now can be rephrased thus:

What did the President(para.¶127) and the justices and judges know
about J. Sotomayor’s concealment of assets and consequent tax
evasion(fn.102c)
and other judges’ wrongdoing(64§a) and when did they know it?

2.    The findings of those pioneering JUDICIAL UNACCOUNTABILITY
REPORTING(jur:xx§D) can outrage(83§§2,3) the public at wrongdoing judges

investigate other public servants and entities

    d.    cause officeholders and candidates for office to commit themselves to
exposing(121§§1-3d) and bringing about judicial accountability and
discipline reform(131§§e-h), and

    e.    make the courageous(iv/endnote iv)candidate who exposes such
wrongdoing a Champion of Justice(fn.146a).

"Don't Let Oregon Courts Silence the Press

Salem-News.com goes to court for reporting a story about an elderly woman's fight to regain finances taken by her son.

(CLACKAMAS, Ore.) - An Oregon mother who allegedly lost more than a million dollars in property and assets to her son in California, says it's hard for a lone elderly woman to find justice in Oregon's legal system.

Now Salem-News.com is being called to task for publishing the story. The venue is the Clackamas County Courthouse and we will be there at 9:00 a.m. Monday morning.

Since the story was first published, Leroy Newton, who is in the investment industry in California, the only son of Erna Boldt in Sandy, Oregon, has been trying to make us purge the story, his story, with the help of a Portland attorney named 'Brooks F. Cooper'.

We are protected by the first U.S. Constitution amendment.

We believe that this legal threat is a frivolousa attempt to silence the free press for carrying a story that is embarrassing, for an individual sliding through legal loopholes with the help of a seasoned attorney. If the woman's allegations are true, then the legal system is failing to protect one of our most vulnerable citizens, and little else.

It seems preposterous that an individual could seize the assets in question from his elderly mother, and suspect that it would not draw media attention.

We find it equally puzzling that Leroy Newton and his lawyer decided to threaten and sue the media into silence without considering that this clear violation of our Civil Rights would likely become the grounds for a strong counter suit.

The article and video report on Erna Boldt in question are fairly presented and only portray the story according to Ms. Boldt and a wealth of accumulated documents. (see: Elderly Oregon Woman In Financial Ruins; via America's Worst Son? - Bonnie King Salem-News.com)

It will be interesting to see how this censorship attempt of Salem-News.com will really go. This is an important time for all in media, because a court interpretation of the 'truth' obtained through a court order that itself is in question, should never be allowed to silence us, particularly when the information is fully attributed to a named source.

One thing I am wondering about is whether attorney Cooper expected this case to end up in front of a jury, which it probably will. I suspect not, and that Mr. Cooper really should be more selective of his clients.

Interestingly, jurors aren't part of the 'system', and not exactly who a ruthless litigator can typically count on. In other words, the truth can win the day with the public and there is little these two men can do about it, and I really am excited about the prospect of being able to defend Ms. Boldt and our American Civil Right to free speech. That is what Mr. Cooper is trying to place his foot on top of, and I can only assume he has no idea what he is dealing with.

So far, Salem-News.com has had contact with two advocacy groups that we have dealt with for years; the Committee to Protect Journalists and Reporters sans frontières (Reporters Without Borders) about this. The woman, Erna Boldt, is also being sued by her son for $55,000 more dollars to compensate him for what he's gone through.

Here's the story in a nutshell: Erna Boldt was born before the second world war, one more human being in a bad place, and her original home is Germany.

"Mom and Dad were bombed out in Hamburg," Erna said. "They fled to East Prussia where my Grandma and some aunts lived, they fled from there by foot, when the Russians advanced. Grandma and my aunts remained and were tyranized by the Russians."

By the very end of the war, when Erna was just 17-years of age, she found one alternative, and that was to follow her best friend's lead and join the German military. She enlisted in the Navy and served about three weeks, which was about enough time to have her photo taken and watch her fleet surrender to the allies.

British soldiers allowed Erna to move on with her life, and within a couple of years she met one of the many American soldiers sent to occupy the newly divided Germany. "My son was born in Germany, before I came to the States. He was 3 years old, when we landed in New York in 1952," Erna said.

It couldn't have been easy.

Today Erna still has her German accent and she is just as quick and funny and smart as any day of her life, but that didn't keep her son from convincing Oregon courts that she was incapable of looking after her own affairs. Court directives were not followed, and Erna lost everything.

"If only I had known!" Erna recalls with regret.

She didn't know of course, because Erna is not mentally diminished at all, as one can gather from watching the video below. Some of the supposed court orders against Erna have been carried out under shady circumstances and we have people looking into several parts of this which will be covered in future reports.

Erna's son is the character in this story who went to a lot of effort to take control of his mother's assets (before she died) that total over a million dollars.

Leroy Newton is the man Brooks F. Cooper chooses to represent the interests of. Erna worked hard and sent her son to Linfield College in Oregon, which is a private school. There he learned how to work with money, and apparently much more.

Erna explains that Leroy came to visit a few years ago from California, and when he did, he brought a friend. Erna didn't suspect anything, even when Leroy suggested he and Erna go to lunch because his "friend was tired and wanted to lay down". He and Erna went for lunch, while his 'friend', Erna says she later discovered, promptly began going through her personal files to find the information they would use in court to deem her incompetent.

Erna believes she earned the disdain of the Clackamas County court officials because, quite frankly, she can be pretty feisty, and who would not be?

There are no terrible stories of Leroy's childhood according to any of the parties we have contacted, or received contact from, and he had not been estranged from Erna until he took court actions against her.

Court documents show that Erna has seen a failure in cooperation from the Clackamas County court. Erna can produce documents demonstrating that they lost papers, failed to fulfill promises, and apparently just failed to fulfill their obligations to her as public tax paid servants.

I call foul on the whole thing, including these very questionable judge's decisions that allowed Leroy to clean up and Erna to lose in one of the most unforgivable ways ever imagined. Just because something can be done legally does not mean that it should be done.

Wrong is still wrong.

In the past, due to Cooper's legal wrangling, we had pulled the video, and we had actually done other things to try to comply with their wishes and demands, like remove the picture of him in a red Ferrari taken shortly after he got his mother's money. (We're assured by his daughter it was a rental car!) The final request was for Salem-News.com to pull the story from Google, which we are not capable of.

Now Erna is meeting Cooper in court again, a continuance of this seemingly endless and sad story. Our position is to get this chronicle of elder financial abuse out like never before. We do not want this type of thing to ever happen to our precious elder citizens.

With time, courts will be held at a higher standard and will be expected to take special care of the rights of the elderly. As it is, the judicial system claims that there are not enough attorneys or time to respond to every single claim. They have to take on the cases that they believe they can win. How pitiful that more "family" take advantage of their elders than any other group, those that are trusted the most, and without any consequences whatsoever. This must end.

Erna is impossible to dislike, unless you are working for a court that is playing games with attorneys, then apparently she can be much more difficult to work with. Why should she react any differently than any us would under the same circumstances?

On that note, are there any attorneys who feel as we do that this attack on us and our citizenry's freedom of speech is worthy of a large scale counter suit?

"President George W. Bush signed into law major legislation to
reform our bankruptcy system. I supported the
Bankruptcy Abuse Prevention and Consumer Protection
Act of 2005 because bankruptcy relief should be available to those
who are unable to pay—not to those who are simply unwilling to pay.
Based on my prior experience as the attorney general of Texas during
the Enron bankruptcy, however, I also know there is more that we can
and should do to combat corporate abuse of our bankruptcy laws.
Current law still allows corporate debtors to manipulate the U.S.
Bankruptcy Court itself to their advantage. Due to a loophole in
current law, large companies can effectively choose the
particular bankruptcy court in which they would like to file for relief.

All that a corporation must do is find—or, if necessary, hastily create—some

This argument is made in many contexts: election-related speech, libel law, the journalist’s privilege, access to government property, and more.

Some lower courts have indeed concluded that some First Amendment constitutional protections apply only to the institutional press, and not to book authors, political advertisers, writers of letters to the editor, professors who post material on their websites, or people who
are interviewed by newspaper reporters.

Sometimes, this argument is used to support weaker protection for non-institutional-press speakers than is already given to institutional-press speakers. At other times, it is used to support greater protection for institutional-press speakers than they already get. The Father, in this case, was ordered to shut it down under threat of incarceration and/or risk losing custody of his children.
